Service Level Agreement
The following is applicable only to HireVue core T2O and HV4 Platforms. To the extent a solution specific SLA or Site Availability Standard is offered, it shall supersede the following.

Excluding Scheduled Downtime, HireVue shall endeavor to meet the Site Availability Standard in accordance with the following calculation: (1) Site Uptime minus Unplanned Outage time, (2) divided by Site Uptime, and (3) all multiplied by 100%. When employing VPN as the connection method for Coordinate, HireVue's Site Uptime measurement does not apply with respect to schedule searches. |

Definitions. “Site Uptime” means the total number of minutes in a month during which all material parts of the HireVue website are operating properly and are available for access and use by Buyer’s Authorized Users excluding Scheduled Downtime. “Scheduled Downtime” means the total number of minutes in a month during which any portion of the Site is not available or not operating properly solely due to planned Site maintenance with advance notice. HireVue will endeavors to limit Scheduled Downtime periods to four (4) hours per semi-monthly period with advance notice. “Unplanned Outage” means the total number of minutes in a month during which a substantial portion of the Site is unavailable for access and use by Buyer’s Authorized Users due to force majeure events beyond the reasonable control of HireVue or HireVue’s subcontractors. |
